I advise business owners, managers, and investors on a wide range of legal issues from the original formation and governing structure of new companies, buying or selling a business, contractual arrangements between business partners, and evaluating and negotiating deals with vendors and customers.

I also advise individuals on estate planning and post-mortem estate administration. Typically this involves using a variety of trusts to (i) avoid or reduce estate taxes and (ii) provide for proper transfer and management of family wealth.

I hold a Certificate of Completion in the areas of Probate and Estate Planning issued by the Institute of Continuing Legal Education and the Probate and Estate Planning Section of the State Bar of Michigan.

My goal for client service is to give prompt, practical and sound advice.

Specialties:Design and drafting of contracts, and corporate documents including: articles of incorporation, bylaws, operating agreements, corporate minutes and board resolutions, stock purchase, partnership, business succession plans, merger plans, buy-sell, purchase (stock or asset), secured transaction documents, etc.

I also design and draft deeds, wills, revocable and irrevocable trust agreements, durable powers of attorney, health care advance directives, and related codicils and amendments.

Madana Hermiz, the firm’s managing attorney, attended the University of Nevada, Las Vegas William S. Boyd School of Law, graduating cum laude.

During law school, Ms. Hermiz was a member of the dean’s list and received an academic scholarship to attend. She earned a position as one of twelve on Boyd’s moot court team, the Society of Advocates, where she went on to represent Boyd at Brooklyn Law School’s Prince Evidence Moot Court Competition, earning second-place brief. Ms. Hermiz also represented Boyd at the American Bar Association’s Client Counseling Competition, placing second, after winning first-place in the in-house competition.

Before establishing HermizLaw, Ms. Hermiz worked at the Federal Public Defender’s Office of Nevada in the non-capital habeas unit where she wrote pleadings to the U.S. Supreme Court of the United States, Ninth Circuit Court of Appeals and U.S. District Court of Nevada. Ms. Hermiz was also selected as one of six to join the Boyd’s Juvenile Justice Clinic, where she represented juveniles in all aspects of their criminal case, handling various cases including burglary, larceny, home invasion, solicitation, possession of a firearm, domestic violence, assault and battery and drug crimes. During that time, Ms. Hermiz was selected by Professor Anne Traum to act as her Research Assistant in connection with the Appellate Clinic at Boyd.

In 2010, Ms. Hermiz was selected as Holland & Hart’s Professional Development Fellow, where she gathered extensive experience at one of Las Vegas’ most prestigious law firms.
Prior to that, Ms. Hermiz served as an extern to Chief Judge Nakagawa in the United States Bankruptcy Court in the District of Nevada.

Ms. Hermiz spent a summer in Detroit working at the Wayne County Prosecutor’s Office and at the State of Michigan Appellate Defender’s Office. The summer prior to that, Ms. Hermiz studied abroad in Florence, Rome, The Hague, Brussels, Luxembourg, Strasbourg, Salzburg and Vienna where U.S. Supreme Court Justice Antonin Scalia taught Separation of Powers.
