Randy has considerable experience as a forceful advocate in the courtroom and a seasoned counselor in the boardroom arising out of his successful representations of corporations, financial services companies, private equity clients, and individual officers and directors in corporate and securities disputes around the country.Drawing on his background as a former federal prosecutor, he has also conducted numerous internal investigations for corporate clients involving highly sensitive matters, successfully defended against investigations and threatened actions by the SEC and other government agencies, and has guided companies through grand jury investigations to avoid criminal prosecution. Randy's recent representations include: Serving as lead counsel for a large public company in multiple state and federal derivative and securities fraud class actions as well as DOJ and SEC investigations related to the alleged backdating of stock options. Representing a public company in connection with an internal investigation followed by an SEC investigation into its stock option granting practices. Acting as lead counsel for a public defense industry company in securities fraud class actions alleging accounting misstatements pending in the U.S. District Court for the Eastern District of New York. Representing the former chairman of a public company in connection with an ongoing joint investigation by the SEC and Department of Justice into alleged fraudulent accounting practices and false and misleading representations concerning the company’s financial condition. Also representing former chairman in securities fraud and breach of fiduciary duty actions. Representing one of the world's largest financial institutions in connection with a Wells notice that threatened its ability to close a planned $4.5 billion swap transaction on the eve of the closing. Obtaining a victory before the U.S. Court of Appeals for the Third Circuit which affirmed the dismissal of a shareholder derivative action against the outside directors of a public health care company. Serving as lead counsel to a group of hedge funds in litigation to enforce the terms of a merger agreement in parallel proceedings that raised unprecedented cross-border legal issues in the context of multi-national mergers concerning the fiduciary duties imposed on boards of directors by laws in multiple jurisdictions, including under Singaporean law. Representing a national provider of specialty health care services as plaintiff in suit against selling shareholders of pharmaceutical wholesaler alleging violations of the federal securities and California fraud laws relating to the acquisition of wholesaler. Serving as lead trial lawyer defending the independent directors of the Board of Directors of Demoulas Supermarkets in a nine-day bench trial in a case alleging that the directors lacked the requisite independence. In the latest chapter in one of the longest running battles in Massachusetts' corporate history, the court found for our clients and this decision was affirmed on appeal. Advising dozens of private equity funds and public companies on Director Officer and General Partner Liability Insurance issues. Prior to joining Ropes Gray, Randy served as an Assistant United States Attorney for the Southern District of New York in New York City.As a federal prosecutor, he investigated and tried numerous cases ranging from white collar crime to mafia murders.Among his major prosecutions, Randy convicted high-ranking members of the Medellin Cocaine Cartel after a six-month jury trial.He also prosecuted and convicted the acting boss and other members of the Luchese Organized Crime Family of La Cosa Nostra in a two-month trial before a jury.
