GE Equity, Darby, GEF / EuromedicSecondary Sale Share and Primary Capital Raising for Euromedic InternationalWe represented the shareholders of Euromedic International – Darby Overseas Investment Ltd., GE Equity and Global Environment Fund regarding a secondary share sale and primary capital raising for Euromedic, a company which is headquartered in Hungary. The company was acquired by Warburg Pincus in an approximate USD 100 million transaction. We also represented GE Healthcare in a new investment in the company alongside Warburg Pincus for an additional USD 50 million in total. The transaction was the largest and most high-profile private equity deal in Hungary in 2005. Related Practice Areas: Private Equity TriGránit Development Corp.Acquisition of TriGránit Development Corporation’s operating portfolioWe represented TriGránit Development Corp. in the disposition of its operating portfolio which includes, among other things, companies owning three shopping centers, a hotel, and two office buildings in Hungary and Slovakia. The acquirer was a management group led by Mr. Sándor Demján and Mr. Peter Munk. The total value of the transactions was approximately EUR 600 million, making it the largest M&A deal in Hungary in 2003 and one of the largest MBOs ever undertaken in the region. The consortium was a leading bidder in an approximate EUR 1.8 billion transaction, the largest privatization in Hungary’s history. We represented NABI Bus Industries Rt. and its U.S. subsidiary, North American Bus Industries Inc. in its approximately USD 115 million debt and equity restructuring. Conway, Del Genio, Gries & Co., LLC in New York and Numerica LLP in London were the financial advisors to NABI. The business, assets and bank debt of NABI were sold to private equity firm, Cerberus Capital Management, for an undisclosed sum in one of the major private equity transactions in Hungary in 2006. Our work has included representing CMC in its successful privatization bid for the steel mill, Valjaonica Cijevi Sisak d.o.o. The total transaction value is in excess of $90 million. We also represented Commercial Metals Company in the privatization bid for the other major steel producer in Croatia, Željezara Split. The total transaction value of the bid was approximately $82 million. GEF is a specialized private equity firm that focuses on investments in environmentally friendly businesses and clean technologies. The transaction values cannot be disclosed. Related Practice Areas: Private Equity, Energy Sanofi-SynthelaboAcquisition of Pharmavit Kft.We represented Sanofi-Synthelabo (now Sanofi Aventis), a French pharmaceuticals company, in the acquisition through Chinoin Rt., a Hungarian pharmaceuticals company 99% owned by Sanofi, of the assets of Pharmavit Kft., a Bristol-Myers Squibb company. Related Practcie Areas: Mergers & Acquisitions General Electric / GECIS SaleSale of 60% interest in GECIS - GE Capital International Services We represented the General Electric Company in the high-profile sale of a 60% interest in GECIS – GE Capital International Services, its outsourcing division, to two private equity firms, General Atlantic Partners and Oaktree Capital. The transaction valued GECIS at USD 500 million. The transaction in Hungary was structured as an asset sale and involved a comprehensive restructuring of the business of GECIS and implementation of a number of complex related financings.
