Tyco International Ltd. Levin v. Kozlowski Obtained affirmation of a prior "lack of standing" dismissal of a New York State court derivative suit brought by a Tyco shareholder purporting to sue under New York law. The court dismissed based on collateral estoppel grounds. The decision is the first by a New York State appellate court to uphold application of collateral estoppel to bar standing by a new derivative plaintiff, and it is notable for barring relitigation of the choice of law issue.

Vivendi SA Vivendi Universal, S.A. and Vivendi Universal Entertainment LLP v. USANi Sub LLC Represented Vivendi Universal and Vivendi Universal Entertainment LLLP (“VUE”) against USANi Sub LLC (“USANi”)seeking an Order granting a declaratory judgment so that the closing of a $40 billion business transaction between Vivendi Universal and, among others, General Electric Company (“GE”) can proceed and accept the letters of credit. USANi initially refused to accept the form of the letters of credit. After document discovery, USANi finally agreed to accept the form of the letters of credit substantially in the form initially provided.
