: Current; Paul has considerable transactional experience. Representative MA engagements include both tender offers and mergers and include several contested situations. Representative securities offerings include public and private sales of common stock, warrants, preferred stock, notes, and structured instruments. Paul is a member of the firm's Life Sciences Group, and hefocuses primarily on transactions involving biotechnology and pharmaceuticalcompanies. His transactional practice also involves advising on matters outside the life sciences industry, particularly unsolicited acquisition bids for issuers organized in Massachusetts. Paul has advised companies both inside and outside of the life science industry on capital structure matters, including multiple self-tender offers. He also regularly advises clients on corporate governance matters.
