A & “mini-IPO” provisions. • Drafting, negotiation & execution of Rule 144-156 private placements and “crowdsourcing” of both equity and debt (convertible/straight preferred & asset-based securitization financing). • Equipment finance/leasing for capital acquisition of various information technology, manufacturing & rolling stock assets. • Licensing/intellectual property. • Management of legal teams involved in the coordination of multi-party, multi-document, high-dollar value transactions. • Extensive management, operating, strategic planning, board membership & advisement re: shareholder relations, public relations, risk management, corporate controls, litigation management, bankruptcy, & oversight of outside-counsel relationships.
