- Bob has extensive experience representing clients in complex commercial and securities litigation disputes. He has tried several cases in federal and state court and before arbitral panels. Bob has litigated and counseled clients concerning a wide variety of commercial disputes involving securities and shareholder rights, corporate governance, contract, antitrust, and creditors’ rights He has handled numerous class and derivative actions, and has also represented clients in connection with government enforcement proceedings and internal investigations. Bob's recent representations include: Acting as lead counsel for a public company in a putative shareholder class action alleging violations of the Securities Act of 1933; Acting as lead counsel for a large financial institution in connection with claims under the Securities Act of 1933 arising out of an offering of asset backed securities; Serving as lead counsel to a public company in defense of claims brought under the Securities Exchange Act of 1934; Representing an investment adviser in connection with an SEC investigation of market timing activities; Serving as lead trial counsel to a financial institution in connection with a massive letter of credit fraud; Representing a public company in defense of RICO claims arising out of the prior settlement of securities fraud claims; Serving as lead counsel to a private company in connection with a corporate governance dispute in the Delaware Chancery Court; Representing a private equity firm in connection with an SEC investigation of disclosure issues related to the valuation of interests in a portfolio company jointly owned with a public company; Acting as lead trial counsel to a group of hedge funds in connection with breach of fiduciary duty claims against the board of directors and senior management of a public broadcast company; and Serving as lead counsel to a major hospital system in its successful defense of putative class actions brought in federal and state courts challenging the system's billing practices.
