Corporate. I am a corporate lawyer. I help people to set up all kinds of businesses - for profits, non-profits, corporations, LLCs, Series LLCs, General and Limited Partnerships, LLPs, and LLLPs, and business trusts.

Buy-Sell. In the life cycle of businesses, there comes a time when one or all of the owners want to sell out or buy out their "partners." I help clients to evaluate buy/sell offers, and draft documents to help them do this. I also interface with lenders to make sure financing is in place and approved. I have experience representing both buyers and sellers.

Business Divorce. Sometimes businesses relationships do not work out. I help companies and owners split up either nicely, or by way of litigation.

Shareholder Rights. I help companies hold director and shareholder meetings, draft resolutions, and advise them on what their Articles and ByLaws require of them. I also enforce the rights of minority shareholders against majority shareholders when they believe they are being treated unfairly. I counsel clients on breach of fiduciary duties claims.

NonProfits. I help set up nonprofits (operating and supporting) at the Secretary of State and Charitable Divisions and the IRS (501c3 and 501c4 etc.). I advise on private inurement and conflicts matters.

IP. Businesses have various types of IP that they should protect. This includes copyrights, trademarks, service marks, logos, slogans, trade dress, and trade secrets. I refer patent work out to outside legal counsel.

I am located in Cincinnati, Ohio but I handle transactions in numerous states. I am admitted in Ohio and Indiana.
