- Q: How do you (Kenneth L. Samuelson) help clients decide which chapter of bankruptcy is right for them?
- A: Business owners frequently ask whether they should file a Chapter 7 or a Chapter 11. Some issues to consider: (a) whether the existing business is salvageable, and can prosper, with the relief a Chapter 11 can provide, including whether the principals can, and are willing to, raise any funds necessary to do so, including paying critical vendors and the attorneys' fees and other costs of a Chapter 11, and overcome creditor objections; (b) whether the principals can feasibly start a new business that is different enough, from the existing business, that it will not have successor liability for the debts of the existing business; and (c) whether the principals have personal guaranties for the existing business or are subject to clawbacks.

- Q: Do you (Kenneth L. Samuelson) focus on any particular types of real estate deals or disputes?
- A: We focus upon distressed or troubled commercial real estate, including the LLC member disputes that such properties engender.
- Q: [Litigation] Do you (Kenneth L. Samuelson) favor an aggressive approach, or do you prioritize negotiation and settlement?
- A: Litigation is expensive in terms of costs, time, and emotions and may lead to bankruptcy. Furthermore, often, at the outset, clients are emotionally involved and eager to fight; but, after about 2 months, tire of the battle and take a more business-like view of the situation. Therefore, we start with, and are always open to, negotiation and compromise. However, Ken Samuelson was an assistant attorney general; therefore, we have successfully litigated when negotiation and offers of compromise fail. Nevertheless, each case is different; therefore, past successes are no indication of what may happen in future cases.

- A: Ken Samuelson has been active in the American Bar Association and other attorney organizations. Therefore, when this firm needs help for depth or for specialized practice areas or locales, it can bring-in numerous attorneys and law firms, from across the country, with whom Ken has already worked.

- Q. Can I terminate my lease due to undisclosed parking issues causing panic attacks after a virtual tour?
- A: I recommend that you give your Maryland-barred attorney (a) a copy of your lease for him/her to review that termination clause, and any force majeure clause and any other applicable clauses therein; (b) a description of the "panic attacks" and the effects thereof upon your ability to use the property; (c) if you have it, a copy of the "viewing" you received before you signed the lease; and (d) a description of any other legal and practical issues involved. I also recommend that you do so right away and, subject to that attorney's guidance, complain, to the landlord, right away.
- Q. How to file a civil case to become sole heir to property in Virginia?
