- Jonathan represents buyers, sellers and financial intermediaries in connection with stock and asset acquisitions, divestitures, mergers, joint ventures, strategic alliances, financings, tender and exchange offers, shareholder arrangements, and a variety of other transactions. He works with US, foreign, and multinational corporations and other entities, both public and private. He also represents companies in connection with corporate governance, defensive measures (including shareholders' rights plans), and other matters. Prior to joining Ropes Gray, Jonathan was a partner in a major international law firm. Jonathan's experience includes the following: Represented a global commodity futures exchange in its $12 billion strategic merger with a rival exchange. Represented a global designer, manufacturer, and supplier of communications equipment, services, and systems in its $2.6 billion strategic merger with a business leader in structured cabling systems for business enterprise applications. Represented a private investment firm in its $365 million acquisition of a premier West Coast ski resort. Represented a national chain of family restaurants in its $245 million sale to a major private equity sponsor. Represented a privately held designer, manufacturer and distributor of office furniture in its sale to a U.S. based buyout fund. Represented one of the leading chemical manufacturers in the world in the divestiture of its superabsorbent polymers business. Represented a global industrial company in its $300 million acquisition of a public company that supplies business application software and related services. Represented a major investment banking firm its acquisition of an options, stock and futures clearing firm and in its acquisition of a broker/dealer for institutions and hedge funds. Represented a leading property and liability insurance provider in its stock for stock merger of equals creating the second largest underwriter of commercial property casualty and personal insurance in the United States. Represented a principal participant in the formation of a joint venture that created a leading national provider of wireless communications services. Represented a major New York-based private equity firm, in a number of stock and asset acquisitions.
