Biography

I help business owners fund, grow, protect, and sell their businesses. I focus on solving problems related to raising capital, contracts, business disputes, and acquisitions. I learned how to win a fight by litigating in state and federal courts, in front of New Jersey administrative bodies and land use boards. My extensive experience, spanning over 20 years in law firms, has honed my skills in helping everyday people with business challenges.

As the son of an attorney, I developed a deep understanding and passion for the law from an early age. I graduated from Rutgers Law School and now proudly serve clients in the Garden State. In my personal life, I’m devoted to my family - my wife, two daughters and son. I apply the same dedication to the clients I represent.

Q. If I want to make a non-profit, and I am not recieving funds, do I have to register my intitiave anywhere?
A: If you're planning to start a nonprofit providing free CPR classes without issuing certifications, it's generally advisable to register your initiative. Here's why:

1. State Incorporation: Incorporating as a nonprofit in New Jersey provides legal recognition and liability protection for your organization and its members, even if you're not receiving funds.

2. IRS Tax-Exempt Status: While you may not need to seek 501(c)(3) status immediately, obtaining it in the future could benefit your organization, especially if you decide to accept donations or grants.

3. Charitable Registration: Since you're not fundraising or receiving contributions, immediate registration with the New Jersey Division of Consumer Affairs may not be required. However, if your activities expand, you'll need to comply with this regulation.

Given the potential complexities, I recommend consulting with an attorney to ensure your nonprofit is set up correctly and complies with all applicable laws. This will help protect your organization and allow it to grow smoothly

Q. Create an operation agreement for F-1 students; Web-design company in Delaware
A: To ensure your LLC is set up correctly and complies with all applicable laws, it's highly recommended to retain an experienced attorney. As F-1 international students, there are specific immigration laws to consider. Direct participation in the operations of the LLC might violate your visa status.

Your operating agreement should include many important provisions such as those which outline the ownership structure, roles, and responsibilities of the members, and how profits and losses will be shared. Since you'll be using an American contractor to perform the services, you must be sure you comply with applicable labor and tax laws, particularly those relating to correctly classifying the worker as an employee or an independent contractor.

Retaining an experienced attorney will help you navigate these complexities and draft an operating agreement that protects your interests.

Q. I have been awarded a default judgement in Special Civil Part in Monmouth County NJ. The defendant retained an attorney.
A: It's crucial to consult with an attorney who can provide tailored advice based on your specific situation.

You have a strong position with a default judgment, but the defendant can file a motion to vacate the default judgment, potentially leading to further legal proceedings. Accepting the 50% settlement ensures some compensation without additional legal action. However, you might negotiate for a higher amount considering your favorable judgment.

Vacating a default judgment can be relatively straightforward if the defendant argues they were not properly served or had a valid reason for not responding, which could delay your compensation and incur additional legal costs.

Consult with an attorney to evaluate the risks and benefits of each option. Your attorney can help you decide whether to accept the settlement, negotiate for more, or continue with legal action based on the specifics of your case. Even retaining an attorney to negotiate the settlement offer may result in a better deal for you. ... Read More
