- Anne's practice includes both transactional work for the firm's health care and higher education clients and general corporate counseling. Since joining Ropes Gray in 1985, Anne has been principally responsible for capital financings undertaken on behalf of the firm's health care and higher education clients, including over a hundred tax-exempt and taxable borrowings. She was the author of the 2008 request to the SEC that resulted in a no action letter permitting tax-exempt borrowers to bid in their own auctions for auction rate securities. Anne also serves routinely as underwriter's counsel and counsel to the firm's mutual fund clients with respect to health care financings and work-outs. In addition, Anne has been involved in a broad range of corporate transactions, including acquisitions and divestitures of health care and other non-profit corporations and the development and break-up of multi-provider delivery systems. Anne also devotes a significant portion of her practice to general corporate counseling for non-profit corporations, including advising boards of directors concerning fiduciary duties, conflicts of interest, and decision-making in the context of financial distress and regulatory scrutiny. She is particularly familiar with the difficulties facing financially challenged non-profit corporations seeking capital, including issues that arise in connection with use of donor restricted funds and other restricted assets. Anne also devotes a significant portion of her practice to general corporate counseling for non-profit corporations, including advising boards of directors concerning fiduciary duties, conflicts of interest, and decision-making in the context of financial distress and regulatory scrutiny. She is particularly familiar with the difficulties facing financially challenged non-profit corporations seeking capital, including issues that arise in connection with use of donor restricted funds and other restricted assets. Anne is a frequent speaker on health care topics at various professional associations, including the American Bar Association and the American Health Lawyers Association.
