- In her debt finance practice, Alyson specializes in mezzanine lending transactions, representing mezzanine and second lien lenders and issuers. She also represents borrowers in senior secured financing transactions, has taught commercial lending in the graduate banking program at Boston University School of Law and is a guest lecturer on bankruptcy law at MIT's Sloan School of Management. Alyson has represented bondholders and other constituencies in a number of prepackaged and prenegotiated Chapter 11 cases, including representing bondholders in the Premium Standard Farms and Grand Union Chapter 11 bankruptcies. She has also represented bondholders and equity sponsors in out of court restructurings and exchange offers. She has also represented the acquirers of insolvent businesses, both in bankruptcy and out-of-court transactions, including the acquisition by Reebok International of the assets of LogoAthletic, Inc., the acquisition by Palisades Associates of the assets of Communications Dynamics, Inc./TVC Communications, both through section 363 sales in bankruptcy, and the acquisition by Maine Medical of Jackson Brooke Hospital through a Chapter 11 plan.
