Call Jeff Ferguson The following is to give you some background of my issue and why I needed legal services from Jeffrey J Ferguson. I found out my Business Partner was self-dealing from our Health Care Business. Basically stealing and not following the terms of our business agreement, how profits would be distributed, and how business decisions would be made. The partner was also not paying the withheld payroll employee taxes to the proper tax authorities including local, state, and federal taxes. Along with not paying the taxes, the partner didn't even file the quarterly 941 form. Year end W2's for the employees were incorrect, and also labeled many employees as contracted 1099 workers when they actually fit the definition of a W2 employee. So with all the above stated, It was worth it to me to sever this partnership. I was not able to absorb the consequences from the IRS when they eventually come after the business for back taxes. Jeff was able to advise and guide me with separating me from this business. He was able to get a satisfactory settlement and give me the peace of mind that I will be insulated from the IRS and the consequences this business faces when the tax authority passes judgement and tries to collect from the principle of this business. Jeff has had many hours litigating in Tax Court and with his background in preparing taxes he has business strategies to put in place and knows the pitfalls of not properly implementing tax planning. I wish I had known Jeff when setting up this business, He could have guided me on the proper structure (C-Corp vs S-Corp vs Partner etc.), do the taxes for the business, even be a buffer between the partners. He could have been an advocate for the whole business and he wouldn't have had to litigate on behalf of one partner. If you are thinking of starting a business, call Jeff.
