Mark Zafrin has over thirty years of transactional experience and handles a broad range of matters for clients in the Healthcare & Pharmaceutical and Financial Services industries. He possesses in-depth knowledge of FHA and conventional mortgage financing, mezzanine and private equity financing and healthcare Certificate of Need applications. He has vast experience representing clients in extremely complex and difficult mergers and acquisitions of healthcare facilities, hospitals, federally financed clinics, ambulatory surgery centers and large physician practice groups. As General Counsel, Mr. Zafrin advises and assists his clients, ranging from nursing homes to assisted living centers and clinics (including primary care clinics, ambulatory surgery centers and free standing renal dialysis centers), with their FHA and conventional mortgage financing, regulatory issues, Medicare and Medicaid audits and general corporate matters.
He has significant expertise in arranging financing for the acquisition, renovation and construction and loan participations; and equity securitization transactions, such as REITs, equity funds and partnership syndications of healthcare facilities. Mr. Zafrin regularly handles transactions involving HUD insured financing, conventional financing and tax credit financing, as well as mezzanine loan originations and restructurings; debt securitization transactions, including REMICs which focus on providing strategic and value added services in particular structuring transactions to maximize the benefits accruing to the promoters from tax planning and financing.
He also counsels lending institutions in their making of loans to healthcare facilities and providers. These transactions typically require representation of clients in connection with the formation of the development entity, site acquisition, construction, permanent financing, development/construction management arrangements, and project sale or leasing.
Mr. Zafrin additionally handles transactions involving the structuring of corporate organizations, joint ventures, financing arrangements, and relationships among healthcare industry participants. He is well known nationally for his extensive industry knowledge and his experience advising clients in the healthcare, banking, financial services, healthcare construction, and physician groups.
He frequently represents clients in complex negotiations and structuring of business transactions by cutting through competing issues to create a unified plan of action incorporating tax matters and planning, financial solutions and corporate structures, which enable deals to successfully close that normally would not.
