I am also the Director of the Small Business Legal Clinic, and a Volunteer Business Counselor with SCORE.

Q. Does the term "waive the benefit under any statute" also mean a waiver of ALL rights?
A: I recommend that you have an attorney review the lease for an opinion on any waiver of rights. Generally, when a lease or guaranty includes this language, the language is intended to waive all rights a tenant may claim under any statutes. This exact language would not waive any common law rights or contract rights. However, if a lease contains this term, the lease often contains terms for waiver of certain common law rights as well. Again, you should have an attorney review the lease and give you an opinion. It is not possible here to give a complete comment on the tenant lease rights or waivers based on this lease snippet alone and a review of the entire lease is needed.
Q. Adding a new member to a single-member LLC
A: I recommend that you consult with your CPA and a business attorney. Your question poses a few layers.

First, unless the Articles of Organization prevent additional members, the LLC can have more than 1 member without the need to file Amended Articles of Organization. If you are unsure, then you should have the Articles reviewed by a business attorney.

Second, you will need to file an updated Statement of Information with the California Secretary of State to note the change in members.

Third, the LLC should not have needed a new EIN. You should consult with your CPA about the LLC having 2 EINs.

Lastly, you should consult with a business attorney about drafting an Operating Agreement. An Operating Agreement is the contract between the members and the LLC that details management and member rights. ... Read More
Q. Should two businesses trying to merge have separate attorneys to most effectively represent both sides?
A: Ideally, yes. The legal needs and goals of each business may well be different and each side should have independent counsel representing it.

In very limited circumstances, an attorney can be retained to draft the transaction documents as instructed by the two businesses. However, in this circumstance, the attorney can not give either side legal advice and would be working for the solely for the resulting business (i.e. the merged business).
