Biography

Cesar is an International Attorney specialized in business law, litigation, and cross-border investments. He holds a J.D. and International Arbitration LL.M. from the University of Miami School of law, an LL.M. for Foreign-Trained Lawyers from Brooklyn Law School, and a Licenciatura en Derecho “Cum Laude” from the Universidad Tecnológica de Honduras. He is admitted to practice law in the states of Florida and New York.

During Law School, he interned for Squire Patton Boggs and Reed Smith, working for the International Dispute Resolution Groups researching complex international arbitration issues. He also clerked for EPGD Business Law, a Miami-based law firm where he worked for the litigation department, and regularly prepared blog posts on trending commercial litigation matters.

At the University of Miami, he interned for the Investor Rights Clinic, handling securities arbitrations before FINRA. He was involved in cases dealing with the unsuitability of investments, unauthorized trading, excessive trading, churning, failure to supervise, among other claims. He also prepared complex damages calculations based on marked adjusted damages, net out-of-pocket losses, and loss avoidance damages. He was also a President of the Miami Law International Arbitration Society.

In Honduras, he served as General Counsel for Mercedes Benz and several other corporations.

A: This is a matter of contract law and should be consulted with an attorney admitted to practice law in Texas. Generally, a contract is a promise or set of promises for breach of which the law gives a remedy or the performance of which the law in some way recognizes as a duty. Oral agreements are enforceable provided that the party seeking enforcement of the agreement can prove the existence of the agreement. You mentioned your breach (failure to pay), and mentioned the other party's actions that might also constitute a breach depending on the terms of your agreement. If the parties agreed that failure to make one payment would constitute a material breach of the agreement, then his actions might be legal, although you may have an equitable action for unjust enrichment, and an action for replevin to recover the assets belonging to your clients. Please seek consultation with an attorney in your area. You may use Justia's directory to find an attorney in your city. I always recommend that before buying a business, you need to have a) an attorney and b) an accountant to assist you with the transaction.

A: I understand how frustrating it is not to obtain an update from your attorney. Communication with clients is essential in every matter, more particularly in probate matters where the clients are dealing with the loss of a loved one. Since probate matters are regulated by the laws of every State, you should consult with an attorney admitted to practice law in your State. You may want to get a second opinion as to whether the delay is reasonable in light of the nature of your case. If, after consultation, it is determined that the delay is not reasonable, you may want to consider sending a letter to your attorney requesting to move forward with the case, or hiring a new attorney. (You do not need to "marry" your attorney if she/he does not keep you happy). The reason why I suggest a consultation with another attorney is that, most often than not, clients are not familiar with the legal procedure and often say "the attorney has done nothing" which might be a false defamatory statement if the attorney has taken actions in your case but it has delayed beyond her/his control.

A: You should consult with an attorney in Delaware to assess what is the best course of action. Several actions can be brought in contract (arising out of the bylaws or operating agreement), and in Tort for the unlawful transfer of the IP and unauthorized dissolution of the Company. Instead of sending a notice, you should consider sending a demand letter (if drafted by an attorney, even better), asking for payment for damages caused for the dissolution of the company and for the value of the IP.
